Agreement and eligibility

By accessing PayCanvas, you agree to these terms for yourself and, if applicable, the business you represent. You must be legally able to enter this agreement and authorized to act for that business. If you do not agree, do not use PayCanvas.

Accounts and roles

You must provide accurate account information, protect credentials and MFA factors, and promptly report suspected misuse. Tenant administrators manage account access. Payroll operators may run and analyze payroll workflows within the accounts to which they have been granted access. You are responsible for actions taken through your account.

Payroll responsibility

PayCanvas helps prepare, calculate, explain, and review payroll information. It is not a payroll provider, bank, tax adviser, accounting firm, or law firm. Unless a separately executed agreement expressly says otherwise, PayCanvas does not approve, file, submit, fund, or pay payroll. Your business must verify results, satisfy wage-and-hour, tax, recordkeeping, and employment obligations, and authorize any final submission or payment.

Connected services and AI clients

You may authorize supported providers or AI clients to exchange selected information with PayCanvas. You are responsible for choosing those services and reviewing their permissions, terms, outputs, storage, memory, training, retention, and other data practices. Your authorization directs PayCanvas to disclose the requested tenant-scoped information to the chosen client. Connector output does not replace review by an authorized payroll operator.

Optional MCP permissions may allow a confirmed tool to start bounded source collection, record an immutable non-payroll review note, apply one factual resolution offered by PayCanvas, copy selected prior-period adjustments, or queue a provisional payroll calculation. These permissions authorize only the exact previewed action after explicit confirmation and live role, tenant, grant, MFA, and current-state checks. They do not authorize payroll approval, export, submission, funding, payment, email delivery, new payroll policy, arbitrary rates, or arbitrary adjustments.

Customer authority and workforce notices

You represent and warrant that your business has the authority and lawful basis to provide employee, contractor, payroll, and operational information to PayCanvas; direct PayCanvas to process it; and authorize disclosure of selected information to each connected AI client. You are responsible for providing legally required workforce notices, obtaining legally required consents, honoring applicable rights, and limiting PayCanvas and connector access to authorized administrators and payroll operators.

Acceptable use

You may not access another customer's data; bypass tenant, role, OAuth, MFA, or capability controls; introduce malicious code; probe or disrupt the service; use PayCanvas unlawfully; misrepresent synthetic or provisional data as approved payroll; or use a public MCP tool to request or transmit Social Security or other government identifiers, bank or routing information, payment-card data, health or benefits information, passwords, API keys, tokens, authorization codes, MFA codes, raw provider credentials, raw provider payloads, or private mappings.

Customer data and service rights

You retain rights in information you submit and grant AJAI LLC the rights needed to host, process, secure, transmit, back up, and support it for PayCanvas. PayCanvas software, branding, documentation, and service design remain owned by AJAI LLC and its licensors. Feedback may be used without restriction or compensation.

Availability, suspension, and termination

We may change or discontinue features, perform maintenance, or suspend access to protect users, comply with law, address nonpayment, or prevent misuse. Either party may end use as allowed by an applicable order or written agreement. Data retention, return, and deletion follow the Privacy Policy and any controlling customer agreement, order form, or data-processing addendum. If those documents conflict, the signed customer agreement or data-processing addendum controls for its subject matter. Provisions that by their nature should survive will survive termination.

Disclaimers and liability

To the maximum extent permitted by law, PayCanvas is provided "as is" and "as available." AJAI LLC disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. To the maximum extent permitted by law, AJAI LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity. Any further liability limits in an executed customer agreement control.

Governing law and contact
